TERMS AND CONDITIONS OF SALE

1. Pricing
1.1 Prices for Protecta-kote will be supplied on request. The price will vary according to volume and standard of packaging requested.
1.2 All prices quoted are ex-factory. The purchaser shall be responsible for the payment of all freight, forwarding, insurance and duties required to import the products into their market. Zest Polyurethane (Pty) Ltd will offer assistance with arranging and co-coordinating the shipping.
1.3 Protecta-kote is sold in one litre and four litre cans as well as a 4 litre application kit.

2. Payment
2.1 Payment terms are strictly 30 days from date of shipment covered by a registered letter of credit (LC)
2.2 The distributor or customer shall not claim the right to any rebates and /or discounts unless agreed to by both parties.

3. Packaging
3.1.1 The product shall be supplied in cans bearing the brand name Protecta-kote and with English text. Depending on size of order changes to the graphics or language on the packaging can be made.
3.2 The cans will be packed into suitable shipping cartons as agreed to by the parties.
3.3 The distributor may not sell the product in any packaging other than the original packaging supplied by Zest Polyurethanes (Pty) Ltd.

4. Intellectual Property Rights
4.1.1 The trademark Protecta-kote or any variation or translation of this name shall remain the exclusive property of Zest Acrylic Polyurethanes (Pty) Ltd.
4.1.2 Should another brand name be used to market Protecta-kote in any region, this name will become the exclusive property of Zest

5. Orders and delivery
5.1.1 Orders for the product should be made to Zest in writing or by fax
5.1.2 A minimum order quantity of one pallet (192 kits or 800 liters) is required.
5.1.3 Zest does not carry stock of Protecta-kote; therefore to be safe the distributor must allow for a period of two weeks for manufacture and approximately three weeks for shipment to Europe and four weeks for shipment to other destinations.

6. Guarantee
6.1 Due to the problem with different substrates and application methods, we do not offer a guarantee on this product. We do however give a warrantee that the product supplied by us is free of defects. Should the product supplied to us be found to be defective we will replace the defective product.
